FlexAI Credit Terms and Conditions

These FlexAI Credit Terms and Conditions (“AI Credit Terms”) govern the purchase and use of FlexAI credits (“Credits”) by Customer and are incorporated by reference into the Agreement between You and Ceros, Inc. (“Ceros”). Capitalized terms used but not defined herein retain the meanings given to them in the Agreement.  In the event of any conflict, these AI Credit Terms control with respect to Credits.

1. Purchase and Delivery.

1.1. Customers with access to Flex may purchase and use FlexAI credits (“Credits”) to access FlexAI services within the Ceros Platform. Customers may purchase Credits through the Ceros Platform in the following ways:

1. Directly within Flex using a valid credit card, for purchases up to $5,000 per transaction.
2. By enabling automatic credit top-off using a stored credit card for recurring purchases.
3. Through a prepaid credit retainer purchased pursuant to an Order Form with Ceros. Customers may contact their Customer Success Manager for assistance with such purchases.

1.2. Purchased Credits do not expire and are made available for use within Flex immediately upon successful purchase. Customer is responsible for any applicable taxes associated with the purchase of Credits.

1.3. Credit consumption rates vary by feature, model, and usage type, and may be updated at any time.

2. Credit Usage.

2.1. Credits are consumed when the Customer uses FlexAI services within the Ceros Platform. Customer may monitor Credit usage and remaining balances within their Ceros instance. Customers are responsible for reviewing and managing their Credit usage.

2.2. Credits are personal to the Customer and may not be transferred, sold, or assigned to any third party.

2.3. Credits are not redeemable for cash or any other monetary value outside the Ceros Platform.

3. Refunds and Expiration.

3.1. Credits are non-refundable once purchased, including partially used Credits. Ceros is not responsible for providing refunds, credits, or other compensation due to model updates, changes in AI behavior, or variations in Credit consumption rates.

3.2. Credits represent a fixed unit of usage at the time of purchase. The purchase price of Credits is fixed at the time of purchase, and any changes to Credit pricing will apply only to future purchases.

3.3. Credit consumption rates (i.e., the amount of Credits required to access specific FlexAI features or services) may vary by feature, model, or usage type, and may be updated by Ceros from time to time. Such changes may affect the effective value or utilization of previously purchased Credits.

3.4. Ceros reserves the right to suspend or limit access to FlexAI services in the event of unusual, excessive, or abusive usage patterns.

4. Service Availability and Performance. Credit pricing may change at Ceros’ discretion for future purchases. Ceros reserves the right to suspend or limit access in the event of unusual or abusive usage patterns.

5. Incorporation and Acceptance. By purchasing Credits, Customer agrees to these AI Credit Terms, which are incorporated into their Agreement with Ceros. Customer acknowledges that use of the Ceros Platform constitutes acceptance of these AI Credit Terms.
