Evaluation Program Terms and Conditions
These Terms and Conditions govern your access to and evaluation of the Ceros Platform during the Evaluation Program. They represent the entire agreement for the Evaluation Period and override any conflicting terms provided by Customer.
Any continued use of the Ceros Platform after the conclusion of an Evaluation Program will require a separate subscription agreement.
1. Definitions.
“AI Features” mean products, features, or tools that are powered by artificial intelligence, machine learning, or similar technologies.
“Ceros,” “we” or “us” means (i) Ceros, Inc., a Delaware corporation if the Customer is located in North or South America and (ii) Ceros Crowd Fusion, Ltd. in any other case.
“Ceros Platform” means an ASP computer system or platform called “Ceros”, wholly owned by Ceros, including all design and content creation, marketing and sales applications, tools and elements, and all improvements, enhancements, developments, and derivative works thereof (excluding end user experiences built by users using the Ceros Platform).
“Deliverables” means any materials, content, configurations, or other outputs created, provided, or made available by Ceros to Customer in connection with an Evaluation Program, including, without limitation, sample content, custom-developed assets, branded assets, templates, sample builds, AI-generated experiences, or other work product, in any form or medium.
“Evaluation Period” means the limited period of time during which Ceros makes an Evaluation Program available to Customer, as specified by Ceros or, if not specified, beginning upon initial access and continuing until terminated by either party.
“Evaluation Program” means any limited-duration, pre-subscription offering provided by Ceros to a prospective customer for the purpose of evaluating Ceros’ products or services. Evaluation Programs may include, without limitation, proof-of-concept engagements, trial or sandbox environments, sample or custom-created content, guided experiences, or other pre-sales access to features, functionality, or Deliverables. Evaluation Programs are provided solely for internal evaluation purposes and do not constitute a commitment to provide ongoing services or enter into a subscription agreement.
“You” or “Customer” means the person or entity registering for, accessing, or using the Ceros Platform in connection with the Evaluation Program.
2. Access and Use.
Ceros grants Customer a limited, non-exclusive, non-transferable, revocable right to access and use the Ceros Platform and any Deliverables solely during the Evaluation Period for internal evaluation and demonstration purposes. Use is limited to internal business evaluation and may not be used for production deployment, commercial purposes, or external-facing use unless otherwise agreed in writing.
3. AI Features.
Customer’s use of AI Features is subject to the additional AI Features Terms and Conditions available at https://www.ceros.com/ai-features-terms-conditions/. Ceros does not use Customer Data or Content to train third-party AI models or to provide services to other customers. AI Features may be disabled upon Customer’s request.
4. Deliverables.
Deliverables are provided solely for evaluation purposes during the Evaluation Period and may be incomplete or illustrative in nature. Unless otherwise expressly agreed in writing, Customer may not use Deliverables for production, commercial, or external-facing purposes. Ceros retains all rights, title, and interest in and to Deliverables, excluding Customer Content incorporated therein.
5. Post-Evaluation Period Access.
Ceros may, in its sole discretion, continue to host Deliverables or Customer-created content for a limited period following the Evaluation Period. Ceros may modify, restrict, or terminate such access at any time. Continued access to or use of the Ceros Platform requires a paid subscription agreement.
6. Restrictions.
Customer will not: (i) share or provide access to the Ceros Platform to unauthorized third parties; (ii) reverse engineer, copy, or modify the Ceros Platform; or (iii) publicly disclose performance or evaluation results without Ceros’ prior written consent.
7. Intellectual Property.
Ceros retains all rights, title, and interest in and to the Ceros Platform and related technology. Customer retains ownership of its own content and materials provided to Ceros (“Customer Content”).
8. Confidentiality.
Each party agrees to keep confidential any non-public information received from the other party in connection with the Evaluation Program and to use such information solely for evaluation purposes.
9. Compliance.
Both parties will comply with applicable laws. Ceros may suspend or restrict access for misuse, violation of these Terms, or legal requirements.
10. Termination.
Ceros may suspend or terminate Customer’s access to the Ceros Platform or Evaluation Program at any time. Customer may discontinue participation in the Evaluation Program at any time.
11. Warranty Disclaimer.
The Ceros Platform and any Deliverables are provided “as is” for evaluation purposes only, without warranties of any kind, whether express or implied.
12. Liability.
To the maximum extent permitted by law, Ceros will have no liability arising out of or related to the Evaluation Program. Customer’s sole remedy is to discontinue use of the Ceros Platform.
